Terms and Conditions of Stay at The Reserve on Main

These Terms and Conditions (the "Agreement") govern the short-term rental arrangement between you ("Guest") and STR MGMT LLC and 722 W M MAIN QOZB LLC (collectively referred to as "Operator"), pertaining to your stay at the premises located at 722 W Main St, Louisville, KY 40202 (the "Property"). By making a reservation and/or staying at the Property, Guest acknowledges and agrees to be legally bound by all terms set forth herein.
1. Booking and Payment Terms
1.1 Minimum Age Requirement: Guest must be at least twenty-one (21) years of age to book a reservation.
1.2 Deposit and Payment Schedule: A deposit equal to fifty percent (50%) of the total reservation cost shall be due at the time of booking. The remaining balance shall be payable no later than seven (7) calendar days prior to the scheduled check-in date.
1.3 Accepted Forms of Payment: All payments must be made by valid credit card. Operator reserves the right to reject any form of payment at its sole discretion.
1.4 Taxes and Fees: Guest acknowledges and agrees to pay all applicable local and state taxes. Cleaning fees shall be included in the total reservation cost at checkout as follows: (a) Individual Room - $55; (b) Full Floor Rental - $125.
2. Cancellation Policy
2.1 Individual Room Reservations: (a) Cancellations made within forty-eight (48) hours of the original booking shall be eligible for a full refund. (b) Cancellations made less than fourteen (14) days prior to check-in shall incur a cancellation fee equal to fifty percent (50%) of the total reservation cost.
2.2 Full-Floor Private Rentals: (a) Cancellations made within forty-eight (48) hours of the original booking shall be eligible for a full refund. (b) Cancellations made less than sixty (60) days prior to check-in shall incur a cancellation fee equal to fifty percent (50%) of the total reservation cost.
3. Check-In and Check-Out
3.1 Check-In Time: Check-in is permitted beginning at 4:00 PM local time on the scheduled arrival date.
3.2 Check-Out Time: Check-out shall occur no later than 10:00 AM local time on the scheduled departure date. Late check-out may incur additional fees.
4. House Rules and Property Use
4.1 Occupancy Limits: Occupancy is limited to two (2) guests per individual room and twelve (12) guests per full-floor rental.
4.2 Quiet Hours: Operator does not impose formal quiet hours but expects all Guests to conduct themselves respectfully at all times.
4.3 Prohibited Activities: Smoking and the possession or presence of pets are strictly prohibited on the Property. Unauthorized events or gatherings are not permitted without prior written approval from Operator.
4.4 Alcohol Consumption: Consumption of alcohol is permitted, including as part of pre-arranged bourbon tasting experiences.
5. Security Deposits, Damages, and Indemnification
5.1 Security Deposit: For reservations made via Booking.com, Expedia, or direct channels, Operator requires a security deposit or damage waiver, to be determined and collected in accordance with the respective platform's policies.
5.2 Guest Liability: Guest shall be liable for any damage caused to the Property, fixtures, or furnishings. Costs of repair or replacement may be deducted from the security deposit or otherwise charged to Guest.
5.3 Indemnification and Waiver of Liability: Guest hereby waives, releases, and discharges Operator from any and all claims for injury, loss, or damage to person or property that may arise during or as a result of the stay.
5.4 Lost or Stolen Items: Operator shall not be held liable for any lost, misplaced, or stolen personal property. Operator will make reasonable efforts to assist in the recovery of such items.
5.5 Right of Termination: Operator reserves the right to immediately terminate the Guest’s stay without refund in the event of a material breach of these Terms and Conditions, including but not limited to: unauthorized events, exceeding occupancy limits, property damage, violation of house rules, or illegal activities. Upon such termination, Guest shall promptly vacate the Property.
6. Privacy and Data Collection
6.1 Data Collection: Operator collects Guest email addresses for Wi-Fi access. Guests may opt-in to receive promotional communications and may opt out during the Wi-Fi access process.
6.2 Use of Data: Email data will be stored securely and used solely for promotional purposes if consented to. No data will be sold or shared with third parties beyond the scope of service providers.
6.3 Cookies and Tracking: Operator does not utilize cookies or similar tracking technologies on its website.
7. Third-Party Services
7.1 Concierge and Courier Services: Operator facilitates services provided by third-party vendors, which may include but are not limited to meal delivery, alcohol provisioning, and itinerary planning.
7.2 Terms of Third-Party Services: By using such services, Guest agrees to be bound by the respective terms and conditions of the third-party vendors. Operator assumes no responsibility for such services.
8. Intellectual Property
8.1 All content, logos, graphics, designs, and materials displayed on the Operator’s website or in marketing materials are the sole property of STR MGMT LLC and are protected under applicable intellectual property laws. Unauthorized use or reproduction is strictly prohibited.
9. Governing Law and Dispute Resolution
9.1 Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky.
9.2 Dispute Resolution: In the event of a dispute arising under this Agreement, the parties agree to first engage in good-faith mediation prior to initiating any legal proceedings.
10. Acknowledgment and Acceptance
By booking a reservation and/or staying at the Property, Guest acknowledges that they have read, understood, and accepted these Terms and Conditions in their entirety.
